Westcon: Letter from our General Manager 21st Dec

To our valued partners,

In September we wrote to you announcing that Avaya was the winning bidder for the purchase of the business interests of Nortel’s Enterprise Division. Today we are pleased to confirm that the proposed transaction has achieved all the necessary regulatory approvals and that consequently the acquisition was completed late on Friday 18th December.

In terms of our existing business relationship, we can confirm it is "Business as Usual" although we understand that you may have some additional questions. In order to provide you with specific assurances to ensure continuity of business operations between all parties, we can confirm the following – effective immediately;

Payment terms – these will continue as per our current agreement.

Credit limits – will continue as per our current arrangements.

Product pricing – pricing and applicable discounts continue unchanged for the foreseeable future. Avaya partners should be aware that the Avaya Pricing Model (APM) will come into effect on the 19th April 2010. Full details will be communicated nearer the time.

Special discounts – all existing/approved Nortel & Avaya special project discounts will be honoured.

Account management – your existing Westcon account manager will continue to be your primary point of contact.

Pre-sales & technical support – arrangements for access to your regular Westcon contacts remain unchanged. We will continue to provide the complete systems design and assurance services you are used to receiving.

Product road map – we anticipate full disclosure of the product road-map in the mid January 2010 timeframe. We will of course provide a full update once announcements are forthcoming.

Promotions– all existing Avaya & Nortel promotions will continue unchanged until they reach previously announced expiration dates.

Vendor accreditation status – your current accreditation status with both vendors will continue unchanged. Arrangements for the integration of the vendor accreditation programs and individual certifications will be communicated in due course. Westcon will of course keep you fully informed as these become known.

Our over-riding objective is to keep you – our valued business partners – fully informed during the transition period. You can feel confident that Westcon, as both Avaya and Nortel’s largest distributor in Europe, has excellent relationships with the entire management team and we are already in close contact with the various business and channel stakeholders in the new organisation. Although it is still too early to completely understand the potential impact on your business on an individual basis we appreciate you might have additional questions. We welcome the opportunity to receive these and we will endeavour to provide answers as quickly and efficiently as possible.

We will keep you updated via this site.

There will be an excellent opportunity to ask further questions and meet the combined Westcon Avaya Nortel team at Avaya House in Guildford on the 19th January 2010. The second Quarterly Westcon & Avaya Distributor Day will update resellers on news, strategy and new initiatives. Places are limited so register online now to guarantee your attendance.

We are committed to working with the Avaya and Nortel management teams and will continue to share information with you as it develops. Thank you for your continued support and business with Westcon.

Thank you,

1
